Nonprofit Checklist

  • Determine the core purpose of the organization and consider whether they are consistent with Section 501(c)(3) of the Internal Revenue Code.
  • Determine whether the mission of your organization would be best accomplished through a new nonprofit or through a fiscal sponsorship with an existing nonprofit.
  • Educate yourself on the laws relevant to organizing and operating a nonprofit, such as board duties and responsibilities, areas of potential liability, activity
  • limitations, filing requirements, charitable solicitations, certain applicable taxes, employment, and intellectual property.
  • Choose a name for your organization and confirm name availability with the Texas Secretary of State.
  • Confirm at least three Directors and a Registered Agent that are willing to serve.
  • Draft governance documents, including articles of incorporation, bylaws, and conflict of interest policy.
  • File Certificate of Incorporation with the Texas Secretary of State.
  • Hold initial Board meeting or have organizational consent executed by the Board to adopt governing documents, elect officers, and to approve certain acts, such as the filing of an exemption application.
  • Apply for Federal Employer Identification Number (FEIN).
  • Complete and file IRS Form 1023 or Form 1023 EZ along with the required attachments, if applicable.
